These Semrush ContentShake AI and SEO Writing Assistant Terms (“Content Tools Terms”) apply with respect to your use of ContentShake AI and SEO Writing Assistant s hereinafter defined, and form part of the Semrush Terms of Service available at https://www.semrush.com/company/legal/terms-of-service/ (“Semrush Terms of Service”). By registering for, accessing or using ContentShake AI and SEO Writing Assistant you acknowledge that you have read, understood, and agree to be bound by these Content Tools Terms. Capitalized terms not defined herein shall have the meanings assigned to them in the Semrush Terms of Service. In the event of any conflict between these Content Tools Terms and the Semrush Terms of Service, these Content Tools Terms shall prevail solely with respect to ContentShake AI and SEO Writing Assistant.

1. USE OF THE CONTENTSHAKE AI AND SEO Writing Assistant

   Definition. “Content Tools” – means ContentShake AI and SEO Writing Assistant - the Semrush service designed to enable Users to create, modify content and publish it or make available at resources designated by User, as described more fully at https://www.semrush.com/contentshake/,
   https://www.semrush.com/swa/ (or another URL we designate) or in the application made available in Semrush App Center. Content Tools may involve artificial intelligence instruments and functionality.

   “Content Provided by Semrush” - means the content provided by Semrush as the result of using ContentShake AI and SEO Writing Assistant.

   Right To Use. Semrush hereby grants you permission to access and use ContentShake AI and SEO Writing Assistant in accordance with these Content Tools Terms.

2. CONTENTSHAKE AI AND SEO WRITING ASSISTANCE SPECIFICS

   Semrush Rights to User Content. As part of use of Content Tools you may provide information or request to be processed by Content Tools and receive output generated and returned by Content Tools. You are solely responsible for the development, content, operation, maintenance, and use of User Content and/or Content Provided by Semrush. You acknowledge that due to the nature of machine learning and the technology powering Content Tools, Content Provided by Semrush may not be unique and Content Tools may generate the same or similar output to you or a third party.
   Solely to enable us to provide ContentShake AI and SEO Writing Assistant to you, you give us the right to use, store, modify, edit, delete, transfer your Content to third party artificial intelligence providers, store, publish and make it available at resources designated by you.

   Your Rights For the Content Provided by Semrush. We grant you worldwide, non-exclusive, prepaid, perpetual license to use, store, edit, delete, publish, make available to third parties the Content Provided by Semrush. Please note that these rights might be subject also to third party artificial intelligence provider’s terms and such rights granted to you to the extent Semrush has, including, but not limited by Stable Diffusion terms and conditions and Open AI terms and conditions.

   Your compliance with third party requirements. You acknowledge and agree that you should be in compliance with third party artificial intelligence provider’s terms and conditions, including, but not limited by Stable Diffusion terms and conditions and Open AI terms and conditions.

   Restrictions. You agree to comply with the Semrush Content Policy at https://www.semrush.com/company/legal/content-policy/ and also do not use artificial intelligence instruments and functionality within Content Tools for fully automated decision making that adversely impacts an individual’s legal rights or otherwise creates or modifies a binding, enforceable obligation, to provide medical advice and medical results interpretation and to generate or disseminate information for the purpose to be used for administration of justice, law enforcement, immigration or asylum processes, such as predicting an individual will commit fraud/crime commitment (e.g. by text profiling, drawing causal relationships between assertions made in documents, indiscriminate and arbitrarily-targeted use).

   WITHOUT PREJUDICE TO THE WARRANTY DISCLAIMER AND THE LIMITATION OF LIABILITY SET FORTH IN ARTICLE 8 OF THE SEMRUSH TERMS OF SERVICE, AND EXCEPT WHERE PROHIBITED BY LAW, CONTENTSHAKE AI, SEO WRITING ASSISTANCE AND THE CONTENT PROVIDED BY SEMRUSH ARE PROVIDED “AS-IS” AND “AS AVAILABLE” AND WE EXPRESSLY DISCLAIM ANY WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, UNIQUENESS AND NON-INFRINGEMENT.
